• Mobile and web applications
• Administrative and management tools

5.2 Service Availability

We strive to provide 99.9% uptime, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or updates
• Factors beyond our control (internet outages, force majeure)
• Security incidents requiring immediate action

5.3 Service Modifications

We reserve the right to:

• Modify, update, or discontinue features
• Change pricing with 30 days' notice
• Introduce new features or services
• Improve performance and security

6. User Obligations and Acceptable Use

6.1 Permitted Use

You may use the Service only for:

• Compliance with your Organization's policies
• Lawful activities in accordance with applicable regulations

6.2 Prohibited Activities

You agree NOT to:

• Falsify attendance records or manipulate data
• Share your account credentials or allow unauthorized access
• Attempt to circumvent security measures
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to access the Service (except approved integrations)
• Interfere with or disrupt the Service's operation
• Upload malicious code, viruses, or harmful content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other users

6.3 Consequences of Violation

Violation of these terms may result in:

• Immediate account suspension or termination
• Legal action and liability for damages
• Reporting to law enforcement authorities
• Forfeiture of subscription fees

7. Data and Privacy

You retain ownership of your data. By using the Service, you grant us a limited license to:

9. Subscription and Payment Terms

9.1 Subscription Plans

Organizations subscribe to the Service on a per-employee, per-month basis. Available plans include:

• Starter Plan
• Professional Plan
• Enterprise Plan (custom pricing)

9.2 Billing

Subscription fees are:

• Billed monthly or annually in advance
• Based on the number of active employees
• Non-refundable except as required by law
• Subject to applicable taxes

9.3 Payment Methods

We accept payment via:

• Credit/debit cards
• Bank transfers (for Enterprise plans)
• Other approved payment methods

9.4 Late Payment

Failure to pay may result in:

• Service suspension after 7 days
• Account termination after 30 days
• Late fees as permitted by law

9.5 Refunds

We offer a 14-day money-back guarantee for new subscriptions. After that, fees are non-refundable except:

• Service outages exceeding our SLA (for Enterprise customers)
• As required by applicable consumer protection laws

10. AI Features and Limitations

10.1 AI Functionality

Our AI features provide:

• Predictive insights and recommendations

10.2 AI Limitations

You acknowledge that AI features:

• May not always be 100% accurate
• Should not be the sole basis for employment decisions
• Require human oversight and judgment
• Are continuously improving but not infallible

10.3 Human Review

Critical decisions should always involve human review. We are not liable for decisions made solely based on AI recommendations.

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMAY REKHA SHALL NOT BE LIABLE FOR:

• Damages exceeding the fees paid in the 12 months prior to the claim
• Damages resulting from unauthorized access or data breaches beyond our control

11.3 Exceptions

These limitations do not apply to:

• Gross negligence or willful misconduct
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Liabilities that cannot be excluded by law

12. Indemnification

You agree to indemnify and hold harmless Samay Rekha, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your misuse of the Service
• Your violation of applicable laws
• Your infringement of third-party rights
• Your Organization's use of the Service

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time by:

• Contacting your Organization's administrator
• Submitting a cancellation request
• Following the in-app cancellation process

13.3 Termination by Us

We may terminate your access immediately if:

• You violate these Terms
• Your Organization cancels its subscription
• Required by law or court order
• We discontinue the Service (with 30 days' notice)

13.4 Effects of Termination

Upon termination:

• Your access to the Service will cease
• Your data will be retained for 90 days, then deleted
• You may request a data export within 30 days
• Unpaid fees remain due and payable

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts in [Your City, State], India.

These Terms, together with our Privacy Policy and any applicable Enterprise Agreement, constitute the entire agreement between you and Samay Rekha.

Continued use after changes constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.
